1. ABOUT US

SellAnyHome.com is a site operated by Sell Any Home FZ LLC, (license number 11296/2017) incorporated in the Fujairah, United Arab Emirates, PO Box 4422 (hereinafter known as SellAnyHome)

S A H Real Estate Broker Owned LLC, (License 783083) carries out real estate buying and selling brokerage, United Arab Emirates, PO Box 282071, Dubai, United Arab Emirates - ORN#19215 (hereinafter known as SAH)

Where appropriate, “You”, “your” and “yours”, irrespective of capitalization, refer to the User; and “We”, “our”, “us”, and “ours”, irrespective of capitalization, refer to SellAnyHome.

2. ONLINE ACCESS

WHEREAS, the User desires to have access the SellAnyHome Website and Online Media hosted and operated by Sell Any Home FZ LLC in its capacity as a developer, host and operator of websites and Online Media in order to review and consider property purchase (hereinafter known as Investment) opportunities which are being advertised and solely and exclusively handled by the company known as SAH

NOW THEREFORE IN CONSIDERATION of the mutual promises and other valuable consideration exchanged by the Parties as set forth herein, the Parties, intending to be legally bound, hereby agree as follows:

3. PROVISION OF SERVICES

SellAnyHome shall provide access to the Website and Online Media and such ancillary services thereto as hereafter described (“Services”) to the User subject to the following Terms and Conditions and Privacy Policy.

4. ACCEPTANCE OF SELLANYHOME TERMS AND CONDITIONS (hereinafter referred to as “TAC”)

By accessing and using the Website and Online Media, the User agrees to be bound by all terms and conditions contained in the TAC and appearing on the Website and any Online Media. If the User does not agree with any of the provisions of the TAC at any time, the User must immediately discontinue its use of the Website and the Online Media.

SellAnyHome reserves the right to update or revise the TAC and for the Website and any Online Media at its discretion and without notice at any time and from time to time. The User is responsible for checking the Website and Online Media periodically for changes to the TAC whereby such changes will be reflected on the Website and as applicable any other Online Media. The User can review the most current version of the TAC at any time on the Website or the Online Media.

If the User continues to use the Website and Online Media following the posting of any changes to the TAC, the User shall be deemed to have accepted and shall be fully bound by these changes. Alternatively, the User as prompted when using the Website and Online Media shall be required to accept any changes or updates from time to time and at any time as notified by SellAnyHome through the Website or Online Media. In addition, when using particular SellAnyHome services on the Website and/or Online Media the User shall be subject to any posted and specific or unique guidelines or rules applicable to such services, which may be posted from time to time and at any time. All such guidelines or rules are hereby incorporated by reference into the TAC and shall be considered to form an integral part of the TAC.

For the avoidance of doubt the material that appears on the Website and/or any Online Media is for information purposes only and no guarantee, warranty or other representation as to the accuracy, authenticity or suitability of the material upon which the User is entitled to rely upon is made. Despite SellAnyHome’s efforts to provide useful and accurate information, errors may appear from time to time and SellAnyHome assumes no responsibility or liability for the same. The User shall at all times assume full responsibility for any decision they make based upon their use of the Website and any Online Media or any services thereto and must carry out its own assessment and due diligence in relation to any decision it makes.

The User further acknowledges and agrees that before proceeding with any investment or activity based upon the content of the Website or Online Media and/or purchasing or proceeding with any related services that offered by or available from SellAnyHome, the User should confirm all information that is important to its decision to proceed with any arrangements or investment of any nature. SellAnyHome is not responsible for nor makes any warranty, express or implied, or endorsement regarding any information on the Website and/or Online Media or as to any of the related services that are being offered through the Website and/or Online Media.

SellAnyHome reserves the right to deny use of the Website and/or Online Media to any User who does not comply with these requirements or who otherwise uses this Website and/or Online Media in a manner that the operators of SellAnyHome deem inappropriate.

SellAnyHome reserves the right, but assumes no obligation, to delete, move, or edit any information or details on the Website and/or Online Media at any time and from time to time. The User acknowledges and agrees that the Services are provided on an "AS-IS" and "WHERE-IS" basis only.

SellAnyHome assumes no liability or responsibility for the use of the Website or Online Media by the User and any third party or member of the User’s household that may with or without authority gain access to and/or use in any way the Website or Online Media to the detriment of or any adverse consequences for the User. SellAnyHome may at its discretion include or introduce at any time on a permanent or temporary basis any security measures it so chooses for the use of the Website or Online Media but shall not be obliged to do so and shall not be required to do so unless it so chooses.

5. DESCRIPTION OF SERVICES

The Services that SellAnyHome provides are further described as below:

SellAnyHome is an online business transaction platform and website and other online media designed for use by Users and which has been created by and is being hosted by SellAnyHome but is being licensed to SAH for the exclusive use of SAH for the purposes of operating its business and real estate brokerage activities.

Users of the Website and Online Media will have access to information relating to SAH and its business. If the User is interested in exploring any investment opportunity offered by SAH then the User agrees and acknowledges that this real estate brokerage and any ancillary activities and services will not be dealt with by SellAnyHome and that User will be required to enter into a separate agreement and terms and conditions directly with SAH in relation to such matters.

The User acknowledges and agrees that SellAnyHome is not providing any brokerage services of any nature and is simply an online information technology development and hosting company that operates the Website and Online Media and which SAH has engaged and licensed the use of the “SellAnyHome” brand from to assist SAH in its marketing and business activates.

The User further acknowledges and agrees that SellAnyHome does not control the price and any other terms whatsoever of any transactions that SAH offer investors through the Website and/or Online Media and that these issues are solely within the control of the seller and/or representative of that property and SAH. SellAnyHome has no involvement in any aspects of the actual real estate transaction, its details and terms and conditions and instead is responsible for operating and providing the Website and the Online Media that SAH uses to provide its services to the User.

The User acknowledges and agrees that in accessing the SellAnyHome Website and/or Online Media, the User does so at its own risk and choice and that SellAnyHome shall not in any way be liable for any investment that the User chooses to make with or through SAH or any services that the User purchases.

6. ONLINE VALUATION

For Seller

- The price valuations given through our website SellAnyHome.com are valuations based upon the information on the Home you give us. It is not a price offer from us to buy your Home.

- Before we present any offer on your Home we always conduct an on-site evaluation of the Home at your home. You can make an appointment for an evaluation after you have received a price estimate (valuation).

- The value of a Home is determined by its history and respective condition. This includes unusual features as well as customization, which may not have been apparent to us when we estimated the value online. Thus, the online valuation will differ from the price that is offered following an on-site evaluation.

7. SALES CONTRACT

For Seller

- Any offer to purchase the home, and thus the contract, is only effective between you and the buyer and only if and when you and the buyer sign the contract after the offer session. The contract will be subject to these terms and conditions.

- We will then continue with the deregistration process of the home, where we will need your cooperation as agreed in the purchase agreement.

A disclosure of system access or login credentials to third parties is not permitted.

8. YOUR STATEMENTS

For Seller

- If we present you with an offer for your Home, we will be relying upon your representation that: you are legally capable of entering into a binding contract to sell the Home; you are at least 18 years old; and to the best of your knowledge, information and belief: you are the sole owner of the Home; other than in respect of any finance outstanding on the Home, which you have disclosed to us, no person has any claim to the Home; you have disclosed to us all matters which a prudent purchaser would want to know about, such as physical defects in the Home (e.g. material problems, damage); all information supplied by you in respect of the Home (whether in obtaining an online valuation, at any appointment or otherwise) is true and accurate in all respects; and the Home is registered in the United Arab Emirates.

9. FINANCE AGAINST HOMES

For Seller

- Even though a Home has finance against it from an agreement of you and a third party, the buyer may agree to present an offer for it. That is only, if the buyer receives a written statement from the third party of the amount required to settle the finance agreement in full.

- The buyer will only pay the very sum to a third party to which the buyer agreed with you in written contract. The buyer will make such payment as soon as it is reasonably practicable after he enters into the contract and following receipt of any sum due from you under the conditions below.

If the price is:

higher than the settlement figure required to fully settle any sum outstanding under any finance agreement the buyer will pay you the difference; or lower than the settlement figure required to fully settle any sum outstanding under any finance agreement you must pay us the difference.

- The buyer reserves the right to withhold a certain percentage to cover hidden fees, which might arise during clearance of your outstanding amount to the third party. The buyer will return the withheld amount to you, if there were no hidden fees or additional charges.

10. LIABILITY

For Seller

- We will not be responsible or liable to you for any loss of income or revenue, loss of business, loss of profit, or loss of anticipated savings. However, this condition shall not prevent claims for loss of, or damage to, your physical property, which is caused by our gross negligence.

- Our maximum aggregate liability to you under or in connection with any contract with you shall not exceed the value of 1% or our commission charged.

- We do not exclude or limit in any way our liability for:

1) death or personal injury which we cause;

2) fraud or fraudulent misrepresentation.

11. PRIVACY POLICY

For Seller

The information you give us for any online valuation and/or in entering into a contract, we may use for the purpose of making payment to you and in case we need to address any complaint. This we do in accordance with the terms of our Privacy Policy. Our Privacy Policy can be found above.

12. ASSUMPTIONS

For Seller

Assumptions we will make about your Home:

- It has no damage, including interior and exterior.

- It has no foundation or behind the walls issues

Wear and tear:

We are assuming that your Home is in fair wear and tear, meaning that your Home is in average condition for its respective age. Furthermore, we are assuming that there are no major faults. Fair wear and tear does not prevail in case of damage added by you.

On-site Evaluation:

We always carry out an on-site evaluation of a home before we find an offer, considering that not all customers are experts in the appraisal of Homes. The offer presented after the evaluation will differ from the online price estimate, because any aspect of its history or condition affects its value. This includes any unusual feature or customization, which could not have been apparent to us when we gave the online valuation.

13. USER ACCOUNT

The User will receive an account designation, along with its associated ‘User ID’ and ‘Password’, upon completing the registration process. The User is responsible for maintaining the confidentiality of the User ID and Password, and is fully responsible for all activities that occur under that account. The User agrees to immediately notify SellAnyHome of any unauthorized use of the account or any other breach of security and to ensure that the User exits from the account at the end of each session. SellAnyHome cannot and will not be liable for any loss or damage whatsoever arising from the User’s failure to comply with this section and/or any breach of access to the User’s account which results in any loss damage, or detriment to the User.

14. PRIVACY POLICY

Registration Data and certain other information about the User are subject to SellAnyHome’s Privacy Policy in place from time to time. For more information, the User is directed to the full current Privacy Policy for SellAnyHome which is available on the Website and which the User acknowledges is subject to update and amendment at any time and from time to time.

15. MINORS

Minors under the age of eighteen (18) years are not eligible to use any services provided through the Website or Online Media or to register for any accounts. You are fully responsible for any minor’s online conduct and the consequences of any misuse of the Service by any minor. SellAnyHome will not be responsible or liable for any loss damage or consequences as a result of any unauthorized use by any minor.

16. SELLANYHOME CONTENT

The User understands that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person or individual from whom such Content originated and/or was created by. The User acknowledges and agrees that under no circumstances will SellAnyHome be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available through the Website, the Online Media and/or the provisions of any Services. Any opinions, advice, statements, services, offers, or other information or Content expressed or made available by third parties, including information providers, Users are those of the respective author(s) or distributor(s) and not of SellAnyHome.
 The User acknowledges and understands that it is solely responsible for the retrieval and use of the Content, transactions, products or services available on or through the Website Online Media and/or the provision of any Services. The User should apply its own judgment in making use of the Content, including, without limitation, the use of the Content as the basis for any transactions.

17. THIRD PARTY CONTENT

The Website and Online Media may from time to time provide links to other websites or resources. Because SellAnyHome has no control over such other websites and resources, the User acknowledges and agrees that SellAnyHome is not responsible for the availability of such external websites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such websites or resources. The User further acknowledges and agrees that SellAnyHome shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to have been caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such website or resource.

18. DEALINGS WITH ADVERTISERS

The User’s correspondence or business dealings with, or participation in the promotions of, sellers, investors, brokers and advertisers found on or through the Website and/or Online Media and through any dealings with SAH, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between the User and SAH or any other such third party seller, advertiser or similar. The User agrees that SellAnyHome shall not be responsible or liable whatsoever for any loss or damage or otherwise of any sort incurred by the User.

19. MONITORING

The User acknowledges that SellAnyHome does not pre-screen Content, but that SellAnyHome and its designees shall have the right (but not the obligation) in their sole discretion to refuse or remove any Content that is available via the Website and Online Media. Without limiting the foregoing, SellAnyHome and its designees shall have the right to remove any Content that violates the TAC or is otherwise objectionable or unsuitable for any reason in the sole opinion of SellAnyHome. The User agrees that it must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, the User acknowledges that it may not rely on any Content created by SellAnyHome or submitted to SellAnyHome. The User acknowledges and agrees that SellAnyHome may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with a legal process; (b) enforce the TAC; (c) respond to claims that any Content violates the rights of third-parties; or (d) protect the rights, property, or personal safety of SellAnyHome, its Users and the public. The User agrees and acknowledges that any data, information, pictures, images or Content that they see or view on the Website or Online Media is illustrative only and that any such Content, information or data which relates to the Website or Online Media or is written about and may endorse the Website an Online Media is not within the control of SellAnyHome and that SellAnyHome bears no liability or responsibility in respect of the same. It is the sole responsibility of the User to carry out its own due diligence before making any decision or taking any action based on what it may have viewed on the Website and Online Media including but not limited to any pictures, images or other media content.

20. GENERAL PRACTICES REGARDING USE AND STORAGE

The User acknowledges that SellAnyHome may establish general practices and limits concerning use of the Services, the Website and/or the Online Media, including, without limitation, the maximum number of days that messages, profiles or other uploaded Content will be retained, the maximum number of messages that may be sent from or received by an account on the Website/Online Media, the maximum size of any message that may be sent from or received by an account on the Website/Online Media, the maximum disk space that will be allotted on SellAnyHome's servers for any User, and the maximum number of times (and the maximum duration for which) a User may access the Website/Online Media in a given period of time. The User agrees that SellAnyHome has no responsibility or liability for the deletion or failure to store any data, messages and other communications or other Content maintained or transmitted as part of the Website and/or Online Media. The User acknowledges that SellAnyHome reserves the right to suspend memberships or User and that SellAnyHome reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

21. MODIFICATIONS TO SERVICE

SellAnyHome reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Website and/or Online Media or any other Services (or any part thereof) with or without notice. The User agrees that SellAnyHome shall not be liable for any modification, suspension or discontinuance of the Website and/or Online Media or any other Services.

22. TERMINATION OF ACCESS

The User agrees that SellAnyHome, in its sole discretion, may terminate any membership and access to the Online Media for any User (or any part thereof) or the provision of any Services, and remove and discard any Content, for any reason, including, without limitation:

  1. Circumvention of the terms and conditions of the TAC and this Agreement as described in more detail below;

  2. if the User fails to pay any amounts due at any time;

  3. if SellAnyHome are notified by SAH that the User has violated any obligation relating to any transaction that SAH is dealing with the User for;

  4. if SellAnyHome believes that the User has violated or acted inconsistently with the letter or spirit of the TAC.

SellAnyHome may also in its sole discretion and at any time discontinue providing the Services, or any part thereof, with or without notice. The User agrees that any termination of access to the Website and/or Online Media under any provision of this TAC may be effected without prior notice, and acknowledge and agrees that SellAnyHome may immediately deactivate or delete any and all related information and files and/or bar any further access to such files or the Website and/or Online Media. Further, the User agrees and acknowledges that SellAnyHome shall not be liable for any damage loss or other liability whatsoever arising out of any termination of access to the Website, and/or Online Media or the provision of any Services.

Without prejudice to the general terms of the above SellAnyHome may terminate this TAC and access to the Online Media for any User at any time where SellAnyHome believes or is made aware that the User has in any way circumvented the provisions and restrictions set out in this TAC and/or the Website and/or the Online Media and has used the information to complete any transaction or business direct with any third party in violation of or contrary to the policies and terms and conditions of SellAnyHome and this TAC.

23. INDEMNITY

The User agrees to fully and effectually indemnify and hold harmless SellAnyHome, and its parent company, subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, proceedings, loss, damage or otherwise including reasonable legal fees, made by any third party due to or arising out of any Content on the Website and/or the Online Media, the use of the Website and/or Online Media or any Services by the User or any violation of the TAC, or any violation of any rights of another by the User under these TAC.

24. NO RESALE OF SERVICE

The User agrees not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Services, Website or Online Media , use of the Services, Website or Online Media or access to the Services, Website or Online Media. Additionally, the User agrees not to engage in any type of data scraping, copying including mass copying, or spidering with regards to the Website or Online Media.

25. SELLANYHOME's PROPRIETARY RIGHTS

The User acknowledges and agrees that the Website, Online Media and provision of the Services and any necessary software now or at any time in the future that may be used in connection with the same (“Software”) contain proprietary and confidential information that is protected by applicable intellectual property and other laws. The User further acknowledges and agrees that Content contained in sponsor advertisements or information presented through the Website, Online Media and Services or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by SellAnyHome or any third parties or advertisers, the User agrees not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Website, Online Media and Services or the Software, in whole or in part. SellAnyHome grants a personal, non-transferable and non-exclusive right and license to use any Software that may be related to the Website and the Online Media to the User provided that the User does not (and does not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. The User agrees not to modify the Software in any manner or form, or to use modified versions of the Software, including, without limitation, for the purpose of obtaining unauthorized access to the Services, Website or Online Media. The User agrees not to access the Services, Website or Online Media by any means other than through the interface that is provided by SellAnyHome and for the use specified in accessing the Website and Online Media.

26. TRADEMARK INFORMATION

The SellAnyHome logo, brand and trademark and other SellAnyHome brand names and logos are trademarks of Sell Any Home FZ LLC or its group, affiliate and associated companies. All other company names, brand names and logos used on SellAnyHome are the trademarks of their respective owners. The User agrees not to display or use in any manner any of the trade-marks without express written permission from SellAnyHome.

27. COPYRIGHT INFORMATION

The Content on SellAnyHome is protected by various copyright laws. The User agrees not to reproduce, republish or redistribute any Content, including, but not limited to, caching, framing and similar means, without express written permission of the copyright owner.

28. DISCLAIMER OF WARRANTIES

YOU AS THE USER EXPRESSLY UNDERSTAND AND AGREE THAT:

a. YOUR USE OF THE SERVICES WEBSITE AND ONLINE MEDIA IS AT YOUR SOLE RISK. THE SERVICES WEBISTE AND ONLINE MEDIA ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SELLANYHOME EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES, REPRESENTATIONS AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

b. SELLANYHOME MAKES NO WARRANTIES, REPRESENTATIONS OR CONDITIONS THAT:

(i) THE SERVICES WEBSITE OR ONLINE MEDIA OR RESULTS DERIVED FROM THE SAME WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

(ii) THE SERVICES WEBSITE OR ONLINE MEDIA WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE,

(iii) THE CONTENT, INFORMATION, PRODUCTS OR SERVICES OBTAINED BY YOU THROUGH THE USE OF THE SERVICES WEBSITE OR ONLINE MEDIA WILL BE ACCURATE AND RELIABLE,

(iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY OR USED BY YOU THROUGH THE SERVICES WEBSITE OR ONLINE MEDIA WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, AND

(V) ANY DEFECTS OR ERRORS WILL BE CORRECTED.

c. IF YOU RELY ON THE SERVICES WEBSITE OR ONLINE MEDIA OR ANY MATERIAL OR INFORMATION AVAILABLE THROUGH THIS SERVICES WEBSITE OR ONLINE MEDIA , YOU DO SO AT YOUR OWN RISK. YOU ALSO UNDERSTAND THAT YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE OR LOSS YOU MAY INCUR THAT RESULTS FROM YOUR USE OF ANY SERVICES, THE WEBSITE OR ONLINE MEDIA OR ANY MATERIAL, INFORMATION, AND/OR DATA DOWNLOADED FROM OR OTHERWISE PROVIDED THROUGH THE SERVICES, WEBSITE OR ONLINE MEDIA.

d. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM SELLANYHOME OR THROUGH OR FROM THE SERVICES, WEBSITE OR ONLINE MEDIA SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TAC.

29. LIMITATION OF LIABILITY OF SELLANYHOME

YOU EXPRESSLY UNDERSTAND AND AGREE THAT SELLANYHOME SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF SELLANYHOME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM:

(i) THE USE OR THE INABILITY TO USE THE SERVICES WEBSITE OR ONLINE MEDIA;

(ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICES WEBSITE OR ONLINE MEDIA;

(iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;

(iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICES WEBSITE OR ONLINE MEDIA; OR

(v) ANY OTHER MATTER RELATING TO THE SERVICES WEBSITE OR ONLINE MEDIA.

YOU AGREE THAT THE LIABILITY OF SELLANYHOME AND ITS PARENT, AFFILIATES, AGENTS AND LICENSORS, IF ANY, ARISING OUT OF ANY KIND OF LEGAL CLAIM IN ANY WAY ARISING OUT OF OR OTHERWISE RELATED TO THE SERVICES WEBSITE OR ONLINE MEDIA WILL NOT EXCEED THE AMOUNT PAID BY THE USER TO SELLANYHOME UNDER THIS TAC FOR THE MEMBERSHIP FEE AND THE SERVICES, IF ANY MEMBERSHIP FEE OR SERVICE FEE APPLIES, TO SELLANYHOME FOR USE OF THE SERVICES WEBSITE OR ONLINE MEDIA.

30. INTERNATIONAL USE

Recognizing the global nature of the Internet, the User agrees to comply with all local rules regarding online conduct and acceptable Content. Specifically, the User agrees to comply with all applicable laws regarding the transmission of technical data exported from the country in which the User resides.

31. NO AGENCY

The User and SellAnyHome are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this TAC.

32. CONFIDENTIALITY

The User undertakes to treat and maintain all Confidential Information, as strictly confidential and shall not divulge to anyone except with the prior written consent of SellAnyHome, and only after such person has signed a confidentiality contract which terms are not less restrictive than the terms of this clause. Confidential information means any information or material or code possessed by or relating to any SellAnyHome Related Party (where “Related Party” means a party related to SellAnyHome in a corporate structure sense such as a group or subsidiary or parent company or any affiliate or associate business or other third party of SellAnyHome), in whatever form including, without limitation written, oral, visual or electronic form, or on tape or disk (whether or not owned or developed by any SellAnyHome Related Party) of which the User may obtain knowledge, directly or indirectly, through or as a result of SellAnyHome’s website usage, access to any SellAnyHome Related Party’s premises or through discussions and communications with any SellAnyHome Related Party’s directors, employees, officers, agents, representatives, consultants or professional advisers, including, without limitation the terms and conditions of this TAC. The User shall not either directly or indirectly, transmit to or discuss with other persons or parties, including but not limited to relatives and friends, any Confidential Information, especially login credentials to SellAnyHome’s Website Online Media and the Services.

The restrictions under this clause shall remain in force even though:

- The Confidential Information has become known to third parties and /or to the general public.

- The Confidential Information has been furnished or made known to the User by any person other than SellAnyHome.

- The Confidential information was in the possession of the User prior to its disclosure by SellAnyHome.

If the User commits a breach of any of his/her duties or obligations under this clause, he/she shall be fully liable to SellAnyHome for all losses and damages incurred or may be incurred as a result of such breach including but not limited to compensatory damage, lost profit, lost opportunity, attorney fees, and court fees as well as liquidated damages.

33. GENERAL INFORMATION

These TAC constitutes the entire TAC between the User and SellAnyHome and govern the use of the Services, Website and Online Media, superseding all and any prior TAC between the User and SellAnyHome that may exist.

The User may be subject to additional terms and conditions that may apply when you the User uses affiliate services, third-party content or third-party software.

The provision of the Services and use and access to the Website and the Online Media and the Content are not to be construed as any form of recommendation, promotion, endorsement, or an offer to sell any product or service, by or to enter any transaction with SellAnyHome.

The failure of SellAnyHome to exercise or enforce any right or provision of this TAC shall not constitute a waiver of such right or provision.

If any provision of this TAC is found by a court of competent jurisdiction to be invalid, the Parties nevertheless agree that the Court should endeavor to give effect to the Parties' intentions as reflected in the provision, and the other provisions of this TAC shall remain in full force and effect.

The User agrees that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use shall be referred to the exclusive jurisdiction of the Dubai Courts and that the laws in force in the Emirate of Dubai and the Federal Laws of the UAE shall be the governing law for this TAC.

The User shall enter into and/or sign any additional or supplemental documentation to this TAC as may be required by SellAnyHome to give effect to the Services being provided and any additional requirements that may arise in relation to the Online Media or Website, this shall include but is not limited to any Arabic or bi-lingual version of this TAC incorporating any modifications thereto.

Where this TAC appears or is prepared in English and Arabic then the Arabic text shall prevail.

34. PERSONAL INFORMATION

When you use our website SellAnyHome will ask you for some personal contact information. SellAnyHome may use such information to send you marketing material such as newsletters, which can be unsubscribed from at any point.

The User also agrees and acknowledges that SellAnyHome may share the Registration Data with SAH and/or may share any other information relating to the User with selected vendors and business partners with whom it works. This includes companies that offer affinity, frequent-User, and reward programs; and, companies that perform marketing services and other business operations for SellAnyHome. Further, SellAnyHome may provide aggregate statistics about its customers, sales, traffic patterns and related site information to reputable third party vendors and may disclose personal information collected from any User if required to do so by law or in the good-faith belief that disclosure is necessary :

(a) to obey the law or comply with legal process served on SellAnyHome;

(b) to protect and defend its rights or property or the rights or property of other Users of the Website or Online Media; or

(c) to act in an emergency to safeguard the Users of the Website or Online Media.

35. COOKIES POLICY

Sometimes SellAnyHome may drop cookies on your computer after visiting our website to deliver personalized adverts while you browse the internet.

Like the majority of sites on the internet the SellAnyHome Website uses cookies. 36. CONSENT TO PROCESSING GLOBALLY

By providing any personal information to SellAnyHome, all Users, including, without limitation, those in the Middle East countries and globally, fully understand and unambiguously consent to the ‘Privacy Policy’ contained in this TAC and to the transfer of certain personal information across international borders in accordance with SellAnyHome standard operations, including the collection, storage, and processing of such information globally.

37. Terms of Offer

For BUYERS

SellAnyHome will be using Visa and Master Card to pre-authorize an amount not exceeding 500 AED when a User wishes to place an offer on a property – this transaction will be executed by SAH as the authorized party. This amount is a Security Deposit towards your bid for the Property.

1) The pre-authorization (Security Deposit) will be unfrozen within 4 days after the offer session has ended:

a. If the seller rejects the offer

b. If the User’s offer is not the highest offer on the property.

c. If the User’s offer is the highest offer and the User signs the MOU ( Form F) with the Seller

2) The User’s card will be debited of the pre-authorization amount (Security Deposit)

a. if the User’s offer is the highest offer and the User does not sign the Form F with the below clauses. The charge will be reflected on the User’s credit card statement as Sell Any Home…

3) The User agrees to the standard terms and conditions found on the FORM F (MOU) provided by the Dubai Land Department.

4) Additionally, the User agrees that they are also bound by the following terms that act as an addendum to the standard Form F (MOU) that is provided by the Dubai Land Department. These terms are to be adhered and signed as an addendum in order for the pre-authorised amount to be released

Form F addendum terms are as follows: (User Hereafter will be referred to as Buyer)

a. The Buyer agrees to pay 2% agency fee to SAH

b. The Buyer has to clearly state if they are a financed buyer or cash buyer

c. If financed buyer, the Buyer will have to obtain written approval from their bank.

d. The Buyer reserves the right to assign this contract in whole or in part to any third party without further notice to the Seller; said assignment not to relieve the Buyer from his or her obligation to complete the terms and conditions of this contract should the assignee default.

e. Maintenance and service fees will be paid by the Buyer from date of transfer on a pro rata basis.

f. The buyer agrees to pay 4% + AED 580 Transfer fee’s payable to Dubai Land Department, in the form of managers cheque.

g. The buyer agrees to pay AED4,000/- trustee office fee at transfer by way of cash.

h. The buyer agrees to provide a 10% security cheque (Deposit Amount) upon signing this agreement, in the name of the seller, to be held by SAH, acting as custodians, which will be returned once transfer is confirmed in exchange for agency fees.

i. In the event that this transaction is not completed as a result of actions of either the Buyer or the Seller, SAH shall be entitled to its full commission, which is payable by the defaulting party. The penalty amount is equivalent to the Deposit Amount paid by the Buyer (10% security cheque), from which the defaulting party shall pay eighty percent (80%) to the other Party and the remaining twenty percent (20%) shall be paid to SAH as agency commission.

SellAnyHome and its parent company or subsidiaries will not trade with or provide any services to OFAC and sanctioned countries.

Customers using the website who are Minor /under the age of 18 shall not register as a User of the website and shall not transact on or use the website.

Cardholder must retain a copy of transaction records and SellAnyHome policies and rules.

User is responsible for maintaining the confidentiality of his/her account

38. Local Law

United Arab of Emirates is our country of domicile and stipulate that the governing law is the local law.

39. Payment Transaction & Confirmation

For Buyers

- Visa or MasterCard debit and credit cards in AED will be accepted for payment.

- Once the payment is made, the confirmation notice will be sent to the client via email within 24 hours of receipt of payment.

40. Refund and Cancellation Policy

For Buyers

- In order to ensure that the users are committed to the offers they place, we will not refund the security deposit should your offer be the winning one and should you decide to withdraw from the sales process subject to our terms and conditions.
